Secondly, By Mr: Subscriber- {Second Party -Referred as Subscriber}
Introductory
brainscrack.com domain is a company-owned training website:
The first party specializes in designing programs on its mentioned Domain website. This Website aims to enhance mental abilities biologically by improving the Subscriber’s social status at an extraordinary academic and social level. Considering the reality that Genetic learning(GL) is an invention undergoing Patent registration procedure, the first party provides its services to individuals and companies by subjecting individuals to technical examinations. Accordingly, under the private sector, GL is a company rendering learning systems in which developing outstanding mental capabilities and psychological stability accentuate progress that exceeds the ordinary course of advancements.
The first party retains all intellectual property rights protected by registered and current patent registrations.
1) The program subject of the contract is owned exclusively by the first party and has the right to a patent. Registrations for the patent have been under registration. The necessary procedures are being held and under completion.
2) The first party has the right to protect any infringement of its intellectual property rights on this program, and it is protected by Law No. 75/2019 regarding the protection of copyright and related rights, Article 3/paragraph 11 and Law No. 63 of 2012 regarding combating information technology crimes.
3) This program is not intended for public broadcasting but is available to a second party: subscribers. Trainees under this contract are authorized to access its Website by following the instructions of the first party.
4) The second party may not copy, transfer or keep a copy of the program or attempt to disclose its content, or else he will be under the exposition of civil and criminal liability.
5) It is not permissible for the second party to practice any of the website modules for his account or personal interest or any other claim or for other activities. The second party’s operations consider the resulting accomplishment for the first party’s interest. Subsequently, the activity type is exclusively propriety belonging to the first part. Breaching this obligation permits the first party to demand compensation.
6) Attempting to hack the Website or The piracy of the program or hacking the electronic protection measures taken by the website firewall is an infringement of rights performed by the second party at the expense of the first party. This action exposes the infringing party to criminal liability and allows the first party to take what it sees as legal deterrent measures.
7) The second party acknowledges that any data or documents viewed by him are personal for training, and no one else may benefit from them.
8) The Trainee making the program available to the public, displaying any parts of it, commenting on it, explaining its idea and content, performance, audio recording, or broadcasting program is classified as an infringement of the moral and financial rights of the first party, whether through computers, information networks, communication networks, or Other ways or means.
9) Violations are brought forward by penalizing the second party’s actions over the ownership and rights of this program. The first party retains the right to compensation. In addition, it keeps the right to remove any infringements.
10) The second party reviewed all the terms of this contract and willingly agreed to its entirety in detail.
Article One: Confidentiality of contractual details and training content
1) The terms of this contract are confidential between its parties and may not be allowable to disclosure, as well as the training content provided may not be published or broadcast by any visual or audio means to others, and the trainee is directly liable for doing so.
2) Whoever discloses the secrets of this contract or the training program’s content or tries to achieve material or moral profit from behind this publication exposes himself to civil and criminal liability.
3) It is also strictly forbidden to show this contract or part of its content to others to view or express an opinion. The first party shall keep a copy of it out of public knowledge and refrain from disclosing it to the private individual.
4) It is strictly forbidden to authorize delegates o to allow others to use the account for other than the names listed under this contract. Unless this name is showing under the contracting second party’s name, the person can use the system accordingly.
Article Two: supervision and guidance
1) The third-party supervises the second party’s training sessions and performs the couching administrative tasks.
2) The third party represents the first party in implementing the terms of this contract and obligating the training mechanisms.
3) The third-party trains and supervises the training of the second party and how to implement this contract following its rule and regulations, conditions, and instructions contained in it and on the company’s Website.
4) The Trainee does not advance to the next course without the approval of third-party and academic supervision.
5) The appearance of the relevant subscription voucher on the site’s shop page for the Subscriber after requesting a renewal, extension, or transfer is considered an implicit acceptance on behalf of the first party.
6) This contract, renewed or required to be transferred, is concluded by purchasing the relevant coupon for the Subscriber-(Second Party) requesting the service, which will be available on the Website’s SHOP page.
7) The applicant for renewal or transfer submits an oral or written request to his administrative supervisor-(third party).
Article Three: the duration of the contract
1) The two parties agreed that this contract starts from the date signature for a period of (In accordance with the subscription agreement)
2) The second party shall abide by the period specified for the contract unless one of the natural reasons for expiry, or the reasons for transfer, renewal, or cancellation mentioned in this contract, arises.
Article Four: The nature and scope of the service
1) The second party will train on solving the test courses for the first party through an electronic platform Geneticglearning.com
The Website is officially registered under protection by the patent and intellectual property rights.
2) The first party provides its services to all mentioned names under this contract’s second party listed names.
3) The program’s schedule binds the second party and duration according to the terms of the contract, the administrative supervisor’s- (Third Party) directions, and the controls and instructions published on the Website.
4) The Subscriber-(Second party) trains for half an hour per day, according to the explanation and detail of the administrative supervisor-(Third-party) and the duration of the contract.
5) In the event of failure on accomplishing number 4- Conditions, the supervisor has the right to write off the Subscriber-(Second Party) after notifying him of the violation.
6) In Case the Subscriber-(Second Party) does not comply with the instructions of the administrative supervisor, even if he has achieved the
7) The administrative supervisor-Third Part has the authority to consider the violation as an action qualifying for a write-off under the terms of the contract or its instructions mentioned on the company’s Website.
8) The services subject to the contract are provided via the Internet, and the first party alone retains the method of performing the service or modifying the form and performance.
9) It is strictly forbidden to directly contact the first party-(Owner) as long as the first party is not supervising the agreement on behalf of the third party.
10) At the end of each contractual period, the Subscriber-(Second party) must give his opinion on the Course Review pages.
Article Five: Contract Transfer Phases
The contract has three stages
The first stage: Subscriber-(Second Party), is the Contractual preliminary stage, accordingly to which the Subscriber is registering after signing this contract and subscribing to the companies Website. The second stage: Transfer from Trainee to Practioner is the second stage, granted after passing the first stage and the acceptance of the first party on the transfer request.
The Third Stage: Instructor, which is the third stage, granted after passing the first or second stage and the first party accepting the transfer request.
The transition from one stage to another does not occur until after submitting and approving an application, the applicant’s commitment to the procedures, and the purchase value (the fee) specified by the first party alone.
Article Six: Contract renewal request
1) It is permissible to renew the Primary contract or other stages of the transitioned agreements after the approval of the first party.
2) The appearance of the stage subscription after the end of the subscription period is an implicit acceptance of allowing the contractor to renew.
Article Seven: Reasons for the expiration of the contract
1) This contract expires at the end of the contracted or renewed period for any contractual stages.
2) This contract or any of the contracts referred to in this contract shall expire if the first party violates the terms and conditions of this contract, the instructions published on the company’s Website, or the directions established by the administrative supervisor.
3) The contract shall expire by striking off the trainee, the Practioner, the Instructor in any of the three cases of the contracting phases if he violates the conditions of this contract or Website. The administrative supervisor(Third Party) has complete discretion in deciding the First party infringement and violation.
Article Eight: The method of contract transmission and renewal
1) This contract is transferrable by the Subscriber’s-(First Party) request to transfer from the trainee contract to a Practioner and accept the request from the first party.
2) This contract is transferrable by the Subscriber’s-(First Party) request to switch from the trainee to an Instructor if the first party approves it.
3) This contract is transferrable by the Subscriber’s-(First Party) request to switch from the trainee to an instructor or whatever the demand is if the first party approves it.
5) The subscription voucher is renewed in the three stages if the Subscriber requests renewal and purchases the renewal voucher from the Shop subscriptions page.
Article Nine: Financial rights
1) For Each Subscription in the three stages is voucher and price.
2) The Subscriber(First Party) must purchase the approved voucher according to his request that appears for him on the subscriptions-SHOP page of the site.
3)The Buyer does not start using the site until after purchasing the coupon associated with his initial contract or his request for renewal or transfer.
4) The provisions of this contract shall take effect upon its signing, and its term shall start from the date of purchasing the subscription voucher.
5) Prices are subject to increase in all Subscriptions other than the contracted valid period.
6) The coupon associated with the contract appears on the SHOP page immediately after signing or approving the renewal or any of its transitional Contract stages.

Article 10: Notifications
1- Each party acknowledges the locations next to their name on this contract.
2-The notifications sent to this address are considered valid and have all their legal effects unless one of the parties notifies the other in writing of a change of address.
Article Eleven: Other Rights and Obligations

Article Twelve: Jurisdiction, Laws, and Copies.
1) Everything not mentioned in this contract complies with Kuwait’s law and regulations. Kuwait courts shall have jurisdiction over them.
2) Each party has an original copy of this contract when necessary.

التمهيد

الطرف الأول شركة متخصصة في تصميم البرامج على موقعها الالكتروني المذكور والتي تعمل على تنمية القدرات العقلية والذهنية وزيادة معدلات الذكاء وتقدم خدماتها للافراد والشركات عن طريق اخضاع الافراد لاختبارات طبقا لبرنامج متخصص وتمتلك برنامج تدريبي للتعلم الجيني لتنمية القدرات العقلية والتقدم في أسلوب الحياه على المستوى البايالوجي والاجتماعي.
يحتفظ الطرف الأول بكامل حقوق الملكية الفكرية والمحمية ببراءة اختراع مسجلة وجارية التسجيل.
1) البرنامج محل العقد مملوك ملكية خالصة للطرف الاول وله عليه حق براءة اختراع ، وقيد التسجيل لبراءة الاختراع عليه وجاري الانتهاء من الاجراءات اللازمة لذلك.
2) للطرف الاول الحق في حماية اى تعدي على حقوق ملكيته الفكرية على هذا البرنامج وهو محمي بالقانون رقم 75/2019 في شأن حماية حقوق المؤلف والحقوق المجاورة مادة 3/ فقرة 11 والقانون رقم 63 لسنة 2012 في شان مكافحة جرائم تقنية المعلومات .
3) هذا البرنانح غير معد للبث العام وانما يتاح للمتدرب المشترك بموجب تعاقد مع الطرف الاول ويكون الدخول اليه على موقعه في الشبكة العنكبوتية طبقاً لتعليمات الطرف الاول.
4) لا يجوز للطرف الثاني نسخ او نقل أو الاحتفاظ بنسخه من البرنامج او محاولة افشاء محتوي البرنامج للغير، والا يعرض نفسه للمسئولية المدنية والجزائية.
5) لا يجوز للطرف الثاني أن يمارس لحسابه أو لحساب الغير نشاطاً من نوع نشاط الطرف الاول، وإذا أخل بهذا الالتزام كان للطرف الاول أن يطالبه بالتعويض وأن تعتبر العمليات التي قام بها لحسابه الخاص قد تمت لحساب الطرف الاول.
6) محاولة تهكير البرنامج او قرصنته او اختراق تدابير الحماية اللكترونية التى اتخذها الطرف الاول تعد تعدى على حقوقه تعرض الطرف المتعدي للمسأئلة الجنائية و تجيز للطرف الاول اتخاذ ما يراه من اجراءات قانونية رادعة .
7) يقر الطرف الثاني أن أية بيانات أو مستندات يطلع عليها منها هي بغرض التدريب شخصية ولا يجوز ان يستفيد منها غيره.
8) قيام المتدرب بإتاحة البرنامج للجمهور أو عرض أي اجزاء منه أو التعليق عليه او شرح فكرته ومحتواه او أداء أو تســجيل صوتي أو برنامج البث يعد اعتــداء على حق من الحقــوق الأدبية والمالية للطرف الاول سواء أكان عبر أجهزة الحاســب اآللي أو شــبكات المعلومات أو شبكات الاتصالات أو غيرها من الطرق أو الوسائل االاخرى.
9) يحتفظ الطرف الاول بحقه في التعويض اضافة الى حقه في ازالة التعدي والمحاسبة الجزائية في حالة صدور تعدي على حقوق ملكيته لهذا البرنامج.
10) اطلع الطرف الثاني علي كافة بنود هذا العقد ووافق على ما جاء به جملة وتفصيلاً.
البند الاول: سرية التفاصيل التعاقديه ومحتوى التدريب
1) بنود هذا العقد سرية بين اطرافها لا يجوز الافصاح عنها للغير، وكذلك المحتوى التدريبي المقدم لا يجوز نشره او اذاعته باي وسيلة مرئية او مسموعه على الغير ويحظر على المتدرب ذلك مطلقاً.
2) من يقوم بافشاء اسرار هذا العقد او محتواه او محتوى البرنامج التدريبي او يحاول تحقيق ربح مادي او معنوى من وراء هذا النشر يعرض نفسه للمسئولية المدنية والجزائية.
3) كما يمنع منعا باتا اظهار هذا العقد او جزء من محتواه للغير بغرض الاطلاع او ابداء الرأي فيه و يحتفظ الطرف الاول بنسخة منه بعيدا عن اطلاع العامة اوكشفه للخاصة.
4)يمنع منعا باتا التفوض او الانابة او التخويل باستخدام الحساب لغير الاسم المصرح به بموجب هذا العقد مالم يذكر اسمه بجانب اسم المتعاقد في مستهل الاتفاق واندراجه تحت اسم الطرف الثاني.
البند الثاني :الاشراف و التوجيه
1) يشرف على هذا العقد الطرف الثالث و هو معين من قبل الطرف الاول .
2) الطرف الثالث يمثل الطرف الاول في تنفيذ بنود هذ العقد والالزام بأليات التدريب.
3) يدرب الطرف الثالث ويشرف على تدريب الطرف الثاني و كيفية تنفيذ هذا العقد وفق ضوابطه و شروطه والتعليمات الواردة فيه و في موقع الشركة .
4) لا يتقدم المتدرب الى الكورس التالي الا بعد موافقة المشرف الاداري.
5) ظهور قسيمة الاشتراك المختصة على صفحة محل الموقع للمشترك بعد طلبه قبول ضمني من قبل الطرف الاول على الموافقة بالتجديد او التمديد او الانتقال.
6) ينعقد هذا العقد او المجدد منه او المطلوب نقله بشراء القسيمة المختصة الخاصة بالمشترك الطالب للخدمة والظاهرة له في صفحة الاشتراكات SHOP.
7) يتقدم طالب التجديد او الانتقال بطلب شفوي او كتابي لمشرفه الاداري.
البند الثالث : مده العقد
1)اتفق الطرفان على ان هذا العقد يبدأ من تاريخ توقيعه لمدة حسب مدة القسيمة الموافق عليها من الموقع
2)يلتزم الطرف الثاني بالمدة الزمنية المحددة للعقد مالم يطرأ سبب من اسباب الانقضاء الطبيعية او اسباب الانتقال او التجديد او الشطب المذكوره في هذا العقد.
البند الرابع : طبيعة و نطاق الخدمة
1)يقوم الطرف الثاني بالتدريب على حل الكورسات الاختبارية للطرف الاول عن طريق منصة الكترونية Geneticglearning.com
محمية ببراءة اختراع و بحقوق الملكية الفكرية.
2) يقدم الطرف الاول خدماته لجميع المتعاقد معهم فقط و المذكورة اسمائهم مع الطرف الثاني في هذا العقد.
3) يلتزم الطرف الثاني بالجدول الزمني للبرنامج و مدته بحسب مدة العقد و توجيهات المشرف الاداري و الضوابط و التعليمات المنشورة على الموقع.
4) يتدرب المتعاقد يوميا بتتابع غير منقطع و لمدة نصف ساعة في اليوم و الليلة بحسب شرح و تفصيل المشرف الاداري ومدة العقد.
5) في حالة الاخفاق عن المتابعة المتصلة يحق للمشرف شطب المتدرب بعد ابلاغه بالمخالفه.
6) في حالة عدم التزام المتدرب تعليمات المشرف الاداري حتى وان احرز التتابع المذكور في بند (5) يحق للمشرف شطبه بعد انذاره بالمخالفة.
7) للمشرف الاداري الصلاحية التفديرية في اعتبار المخالفة واقعة وذلك وفق شروط العقد او تعليماتهة المذكورة في موقع الشركة .
8) يتم تقديم الخدمات محل العقد عن طريق الانترنت و يحتفظ الالطرف الاول وحده بطريقة اداء الخدمة او تعديل طريقة الاداء.
9) يمنع منعا باتا تجاور المشرف الاداري و الاتصال بالمالك مالم يكن المالك مشرفا اداريا طرف ثالث.
10) على المشترك في نهاية كل قترة تعاقدية الادلاء برأيه في صفحة Revies.
البند الخامس: مراحل انتقال العقد
للعقد ثلاث مراحل
المرحلة الاولى : ممارس-Traineeوهي مرحلة البداية التعاقدية والتى يقيد بحسبها المتعافد بعد ابرام هذا العقد في موقع الشركة.Geneticglearning.com
المرحلة الثانية : متدرب –Practioner و هي المرحلة الثانية والممنوحة بعد اجتياز المرحة الاولى و قبول الطرف الاول على طلب الانتقال.
الثالثة : مدرب -Instructor وهي المرحلة الثالثة و الممنوحة بعد اجتياز المرحلة الاولى او الثانية و قبول الطرف الاول على طلب الانتقال.
ــ ولا يتم الانتقال من مرحلة الي اخرى الا بعد تقديم طلب والموافقة عليه والتزام مقدم الطلب الإجراءات وقيمة الشراء (الاجر) المحددة من قبل الطرف الاول منفرداً.
البند السادس: طلب تجديد العقد
1) يمكن تجديد عقد الممارس TRAINEEالابتدائي في المرحلة الاولى او المراحل ا لاخرى بعد طلب التجديد و موافقة الطرف الاول.
2) ظهور اشتراك المرحلة بعد انتهاء مدة الاشتراك هو قبول ضمني بالسماح للمتعاقد بالتجديد.
البند السابع: اسباب انقضاء العقد
1) ينقضي هذا العقد بانتهاء الفترة المتعاقد عليها او المجددة لاي من المراحل التعاقدية.
2) ينقضي هذا العقد او اي من العقود المحال اليها بهذا التعاقد اذا خالف الطرف الاول شروط واحكام هذا التعاقد او التعليمات المنشورة على موقع الشركة او التوجيات المقررة من المشرف ا لاداري.
3) ينقضي التعاقد بالشطب للمتدرب- Practioner او المدرب- Instructor-او الممارس-Tainee في اي من الحالات الثلاثة من مراحل التعاقد اذا خالف احكام هذا العقد وللمشرف الاداري السلطة التقديرية الكاملة في تقرير ذلك.
البند الثامن: طريقة انتقال التعاقد و التتجديد
1) ينتقل هذا العقد بطلب المشترك تحويل عقد الممارس -Trainee الى متدرب -Practioner و قبول الطلب من الطرف الاول.
2) ينتقل هذا التعاقد بطلب المشترك تحويل من عقد ممارس Tainee الى ما يطلبه الطرف الثاني في الانتقال اذا تمت الموافقة عليه من قبل الطرف الاول.
3) ينتقل هذا العقد بطلب المشترك تحويل المتدرب -Practioner الى مدرب -Instructor وقبول الطلب من الطرف الاول.
4) ينتقل هذا العقد بطلب تحويل الممارس -Trainee الى مدرب -Instructor و قبول الطلب من الطرف الاول.
5) تتجدد قسيمة الاشتراك في المراحل الثلاثة اذا طلب المشترك التجديد و قام بشراء قسيمة التجديد المتعتمدة له من قبل الموقع و الظاهرة في صفحة الاشتراكات Shop.
البند التاسع : الحقوق المالية
1) لكل مرحلة من المراحل الثلاثة قسيمة اشتراك خاصة بها وسعر خاص بالمرحلة المشترك بها و ذلك بحسب مرحلة العقد.
2)على المشترك شراء القسيمة الموافق عليها بحسب طلبه و الظهارة له في صفحة الاشتراكات-SHOP في الموقع.
3) لا يبدأ صاحب المرحلة باستخدام الموقع الا بعد شراء القسيمة المرتبطة بعقده الابتدائي او طلبه في التجديد او الانتقال.
4) تسري احكام هذا العقد عند توقيعه و تبدأ حساب مدته من تاريخ شراء قسيمة الاشتراك.
5) الاسعار قابلة للارتفاع في جميع المراحل لغير الفترة المتعاقد عليها والسارية المدة.
6) تظهر القسيمة المرتبطة بالتعاقد في الصفحة SHOP مباشرة بعد توقيع العقد او الموافقة على التجديد او لاي من المراحل الانتقالية له.
7) حقوق مالية اخرى

البند العاشر : الاخطارات
يقر كل من الطرفين انه اتخذ موطنا مختارا له عنوانه الموضح قرين اسم كلا منهما بصدر هذا العقد و ان كافة المراسلات والاعلانات و
الاخطارات المرسلة على هذا العنوان تعتبر صحيحة و منتجة لكافة أثاراها القانونية مالم يخطر احد الطرفين الاخر كتابة بتغيير عنوانه.
البند الحادي عشر : حقوق و التزامات اخرى

البند الثاني عشر :الاختصاص القضائي والقانون المختص والنسخ
1) كل مالم يرد ذكره في هذا العقد يطبق بشأنه احكام القانون الكويتي وينعقد الاختصاص بشأنه للمحاكم الكويتية .
2) يمتلك كل طرف نسخة أصلية من هذا العقد للعمل بها عند اللزوم.
